DRIVER PARTNERSHIP AGREEMENT

VibeRides by LIONZMEN Transportation

PARTIES

This Driver Partnership Agreement ("Agreement") is entered into between:

1. SERVICES PROVIDED

Driver agrees to provide luxury party bus/transportation services through the VibeRides platform under the LIONZMEN brand, including:

  • Safe, professional transportation for customers booked through VibeRides
  • Maintaining vehicle in excellent condition and full compliance with all regulations
  • Providing amenities as advertised on the VibeRides platform
  • Professional, courteous service representing the LIONZMEN brand

2. COMPENSATION STRUCTURE

Driver Earnings:

  • Driver sets their own hourly rate (typically $150-200/hour)
  • Company retains 10-20% platform fee per booking (covers marketing, payment processing, insurance verification, customer service)
  • Driver receives 80-90% of booking revenue
  • Tips go 100% to driver
  • Weekly payouts via Stripe Connect (Fridays)

Example: $600 booking (4 hours @ $150/hr) = $540 to driver, $60 platform fee

⚠️ 3. NON-SOLICITATION & NON-COMPETE CLAUSE

Driver expressly agrees to the following restrictions:

3.1 Prohibition on Direct Solicitation:

  • Driver SHALL NOT solicit, contact, or accept direct bookings from any customer initially booked through VibeRides
  • Driver SHALL NOT provide personal contact information (phone, email, social media) to VibeRides customers with intent to bypass the platform
  • Driver SHALL NOT disparage VibeRides pricing or suggest customers can get "better deals" booking directly
  • Driver SHALL NOT use VibeRides customer lists, contact information, or data for personal business purposes

3.2 Duration of Restriction:

This non-solicitation clause applies to:

  • ALL customers obtained through VibeRides platform
  • During the term of this Agreement
  • For 12 months after any booking through VibeRides
  • For 6 months after termination of this Agreement

3.3 Penalties for Violation:

If Driver violates this non-solicitation clause, Driver agrees to:

  • Immediate termination from VibeRides platform
  • $2,500 liquidated damages per violation (per customer solicited)
  • Forfeit all unpaid earnings in Driver's account
  • Reimburse Company for all legal fees incurred to enforce this Agreement
  • Loss of recruiting commissions and any future partnership opportunities

NOTE: Driver acknowledges that Company invests significant resources in marketing, customer acquisition, venue partnerships, and platform development. Customer relationships generated through VibeRides are Company property. Direct solicitation causes irreparable harm to Company's business and justifies the above penalties.

4. VENUE PARTNERSHIP (DRUNKEN LABORATORY)

Driver acknowledges that:

  • VibeRides has exclusive marketing partnerships with venues including Drunken Laboratory
  • Driver represents LIONZMEN/VibeRides brand when servicing venue customers
  • Professional conduct is required at all times to maintain venue relationships
  • Driver may be invited to showcase vehicle at partner venues for promotional events

5. INSURANCE & COMPLIANCE

Driver warrants that they maintain:

  • Valid commercial auto insurance with minimum $1M liability coverage
  • All required licenses, permits, and registrations for commercial passenger transport
  • Clean driving record and valid driver's license
  • Vehicle safety inspections current and up to date

Driver must provide proof of insurance before first booking and upon renewal.

6. BOOKING PROCESS & RESPONSIBILITIES

Company Responsibilities:

  • Market and promote Driver's vehicle on VibeRides platform
  • Handle customer inquiries, bookings, and payment processing
  • Provide customer contact info only after booking confirmed
  • Process weekly payouts to Driver's bank account

Driver Responsibilities:

  • Respond to booking requests within 30 minutes (or auto-declined)
  • Show up on time and provide excellent service
  • Update booking status in real-time via VibeRides app
  • Communicate any delays or issues immediately
  • Keep vehicle profile updated (photos, amenities, availability)

7. TERM & TERMINATION

  • This Agreement remains in effect until terminated by either party
  • Either party may terminate with 30 days written notice
  • Company may terminate immediately for cause (non-solicitation violation, safety issues, poor reviews)
  • Driver must complete all confirmed bookings before termination takes effect
  • Non-solicitation clause survives termination for 6 months

8. DISPUTE RESOLUTION

Any disputes arising from this Agreement shall be resolved through:

  • Good faith negotiation between parties
  • If unresolved, binding arbitration in New York
  • Prevailing party entitled to attorney's fees

9. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements. Modifications must be in writing and signed by both parties.

By signing this Agreement, Driver acknowledges:

  • ✓ I will not solicit VibeRides customers for direct business
